This End User License Agreement ("EULA") is a legal agreement between you ("User," "You," or "Your") and Leaftech Ag ("Leaftech," "We," "Us," or "Our"), a company specializing in agricultural technology solutions. This EULA governs Your use of Leaftech Ag’s software, including but not limited to applications, firmware, hardware and associated services (collectively, the "Software") provided with Leaftech Ag products or services.

By installing, accessing, or using the Software, You agree to be bound by the terms of this EULA. If You do not agree to these terms, do not install, access, or use the Software.

1. Grant of License

1.1 License Grant. Subject to Your compliance with this EULA, Leaftech Ag grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely for Your personal or internal business purposes in connection with Leaftech Ag products or services.

1.2 Scope of Use. You may install and use the Software on compatible devices or systems owned or controlled by You, as specified in the applicable documentation. The Software may only be used for its intended purpose, such as managing agricultural operations, monitoring crops, or analyzing data.

1.3 Restrictions. You shall not:

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except as permitted by applicable law.
• Copy the Software, except for backup purposes as expressly permitted in this EULA.
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
• Use the Software for any unlawful or unauthorized purpose.

2. Ownership and Intellectual Property

2.1 Ownership. The Software is licensed, not sold. Leaftech Ag and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein.

2.2 User Data. You retain ownership of any data, content, or information You input into or generate through the Software ("User Data"). By using the Software, You grant Leaftech Ag a non-exclusive, worldwide, royalty-free license to use, process, and store User Data solely to provide, improve, and support the Software and related services, as described in Our Privacy Policy.

3. Updates and Support

3.1 Updates. Leaftech Ag may, at its discretion, provide updates, patches, or new versions of the Software ("Updates"). Updates are subject to the terms of this EULA unless otherwise specified. You agree that Leaftech Ag may automatically deliver Updates to Your device or system.

3.2 Support. Leaftech Ag may provide technical support for the Software at its discretion, as outlined in the applicable product documentation or service agreement. Support services may require a separate subscription or fee.

4. Third-Party Components

4.1 Third-Party Software. The Software may include or interact with third-party software, services, or components ("Third-Party Components") subject to separate terms and conditions. Leaftech Ag is not responsible for Third-Party Components, and Your use of such components is at Your own risk.

4.2 Open Source Software. Certain portions of the Software may include open source software governed by separate open source licenses. Such licenses will be provided with the Software or made available upon request if used.

5. Privacy and Data Collection

5.1 Data Collection. The Software may collect certain data, including User Data and telemetry data (e.g., device performance, usage statistics), to provide functionality, improve performance, and enhance Our products and services. Our collection and use of data are governed by Our Privacy Policy.

5.2 Consent. By using the Software, You consent to the collection, use, and sharing of data as described in this EULA and Our Privacy Policy.

6. Term and Termination

6.1 Term. This EULA remains in effect until terminated.

6.2 Termination by You. You may terminate this EULA by ceasing use of the Software and uninstalling it from Your devices.

6.3 Termination by Leaftech Ag. Leaftech Ag may terminate this EULA immediately if You breach any of its terms. Upon termination, You must cease all use of the Software and destroy all copies in Your possession.

6.4 Survival. Sections 2 (Ownership and Intellectual Property), 6 (Term and Termination), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 11 (General Provisions) shall survive termination of this EULA.

7. Disclaimer of Warranties

7.1 As-Is Basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Results. Leaftech Ag does not guarantee that the Software will meet Your requirements, operate without interruption, be error-free, or produce specific agricultural outcomes (e.g., crop yields or cost savings).

8. Limitation of Liability

8.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAFTECH AG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Cap on Liability. IN NO EVENT SHALL LEAFTECH AG’S TOTAL LIABILITY UNDER THIS EULA EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SOFTWARE OR RELATED SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Leaftech Ag and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with Your use of the Software, violation of this EULA, or infringement of any third-party rights.

10. Export Compliance

The Software may be subject to export control laws and regulations, including those of the United States and other jurisdictions. You agree to comply with all applicable export laws and not to export, re-export, or transfer the Software to any country, entity, or individual prohibited by such laws.

11. General Provisions

11.1 Governing Law. This EULA shall be governed by and construed in accordance with the laws of Indiana, USA, without regard to its conflict of law principles. Any disputes arising under this EULA shall be resolved in the state or federal courts located in [Indianapolis, Indiana USA].

11.2 Entire Agreement. This EULA constitutes the entire agreement between You and Leaftech Ag regarding the Software and supersedes all prior or contemporaneous agreements, representations, or understandings.

11.3 Severability. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Assignment. You may not assign or transfer this EULA or any rights or obligations hereunder without Leaftech Ag’s prior written consent. Leaftech Ag may assign this EULA without restriction.

11.5 Amendments. Leaftech Ag may modify this EULA at any time by posting an updated version on Our website or within the Software. Continued use of the Software after such changes constitutes Your acceptance of the updated EULA.
